In Kenya, according to the Companies Act, a director must provide written notice of their resignation to the company, and the company must then file a notice of the resignation with the Registrar of Companies within 14 days.
First, a director must write a letter of resignation addressed to the Board stating their name, position, and reason for resignation. The letter must then be signed and dated by the director.
An affidavit sworn before a Commissioner for Oaths is required when resigning as a Director of the Company. The affidavit will contain the following details;
- Full name and address of the director
- Indicate the effective date of resignation
- Indicate that you have no further claims against the company
- That the resignation is voluntary
