Affidavit of resignation of director in Kenya

In Kenya, according to the Companies Act, a director must provide written notice of their resignation to the company, and the company must then file a notice of the resignation with the Registrar of Companies within 14 days.

First, a director must write a letter of resignation addressed to the Board stating their name, position, and reason for resignation. The letter must then be signed and dated by the director.

An affidavit sworn before a Commissioner for Oaths is required when resigning as a Director of the Company. The affidavit will contain the following details;

  1. Full name and address of the director
  2. Indicate the effective date of resignation
  3. Indicate that you have no further claims against the company
  4. That the resignation is voluntary
