Affidavit of Resignation of a Partner in Kenya

When retiring or resigning from a partnership in Kenya, one must file an Affidavit of Resignation with the Registrar of Companies.

Requirements of an Affidavit of Resignation of a Partner in Kenya

  • Partnership name (This should be in the Certificate of Registration of the Partnership. )
  • Effective resignation date (This is the date you retired or ceased being a partner in the Firm).
  • National Identity Card
  • Postal Address

Process

  1. An Advocate can draft the Affidavit of Resignation – State your resignation, partnership details, and effective date.
  2. Sign Before an Authorized Officer – Sign in the presence of a Commissioner for Oaths, Notary Public, Magistrate, or Consular Officer.
  3. Prepare a Resignation Letter – Addressed to the partnership, outlining your resignation.
  4. Upload to the BRS Portal – Log in to e-Citizen, access Business Registration Services, and upload the affidavit and resignation letter.
